Acceptance of Terms

These Terms of Use govern access to and use of the SGA Foundation website. By accessing the Website, you agree to be bound by these Terms and all applicable laws. If you do not agree, do not use the Website. SGA Foundation may revise these Terms from time to time and continued use following publication of revised Terms constitutes acceptance of the revised Terms.

Purpose of Website

The Website is intended to provide information about SGA Foundation, its youth sports initiatives, events, programs, fundraising activities, and charitable mission. Nothing on the Website constitutes professional, legal, tax, financial, medical, or other professional advice.

Eligibility

You represent that you have the authority and legal capacity to enter into these Terms. If you use the Website on behalf of an organization, you represent that you have authority to bind that organization.

You may access and use the Website solely for lawful, personal, educational, charitable, informational, and non-commercial purposes. No right, title, or interest in Website content is transferred to you.

Prohibited Conduct

You may not: violate laws; infringe intellectual property rights; upload malicious code; interfere with Website functionality; harvest data; engage in unauthorized scraping; misrepresent your identity; transmit unlawful, defamatory, threatening, abusive, fraudulent, misleading, or discriminatory material; attempt unauthorized access; or use the Website in a manner that could damage SGA Foundation or other users. To the extent the Website permits inquiries, testimonials, comments, photographs, videos, stories, applications, sponsorship inquiries, volunteer information, or other submissions, you remain the owner of your content. By submitting content, you grant SGA Foundation a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable, sublicensable license to use, copy, store, reproduce, modify, adapt, publish, distribute, publicly display, publicly perform, and create derivative works from the content in connection with its charitable, educational, fundraising, promotional, archival, operational, and mission-related activities.

The foregoing restrictions and rights are intended to be interpreted broadly in favor of protecting the Foundation, its mission, its beneficiaries, and the rights of third parties.

By providing a submission, you represent and warrant that: (i) you own or have the necessary rights and permissions to provide the submission; (ii) the submission does not violate any law or infringe the rights of any third party; and (iii) where a submission includes the name, likeness, image, or information of a minor, you have obtained all necessary parental or guardian consents.

SGA Foundation reserves the right, but not the obligation, to review, reject, remove, or discontinue use of any Submission at any time and for any reason.

User Representations and Warranties

You represent and warrant that you own or control all rights necessary for submitted content; your content does not infringe third-party rights; your content is not unlawful; all necessary permissions and releases have been obtained; and your content does not contain malware or harmful material. If the content relates to a child, you represent that all required parental or guardian consents have been obtained.

Monitoring and Removal

SGA Foundation reserves the right, but not the obligation, to monitor Website activity and user submissions. SGA Foundation may remove, edit, decline to post, restrict access to, or preserve any content in its sole discretion.

Intellectual Property

Except for user-owned submissions, all Website materials including text, graphics, logos, photographs, videos, designs, works of authorship, compilations, software, source code, databases, and other content are owned by or licensed to SGA Foundation and protected by intellectual property laws. SGA FOUNDATION WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SGA FOUNDATION, ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF SGA FOUNDATION FOR ALL CLAIMS SHALL NOT EXCEED US $100.

Indemnification

You agree to defend, indemnify, and hold harmless SGA Foundation and its directors, officers, employees, volunteers, affiliates, and agents from claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of your use of the Website, submitted content, violation of these Terms, or violation of the rights of any third party.

Injunctive Relief

You acknowledge that violations relating to intellectual property, proprietary rights, or misuse of the Website may result in irreparable harm for which monetary damages would be inadequate. SGA Foundation may seek injunctive and equitable relief.

Organizational Transactions

In connection with a merger, affiliation, consolidation, restructuring, transfer of assets, or similar organizational transaction, information associated with the Website may be transferred to a successor organization subject to applicable law and the Privacy Notice.

Suspension and Termination

SGA Foundation may suspend, restrict, or terminate Website access at any time, with or without notice, for any conduct believed to violate these Terms or applicable law.

Governing Law and Venue

These Terms shall be governed by Illinois law. Exclusive jurisdiction and venue shall lie in state or federal courts located in Illinois.

Miscellaneous

These Terms constitute the entire agreement regarding Website use. Failure to enforce any provision is not a waiver. Invalid provisions shall be severed. Obligations relating to intellectual property, indemnification, limitations of liability, and dispute-related provisions shall survive termination.
